Alle de syv medlemmene av 23andMes styre trakk seg i en stikkende irettesettelse mot et forslag fra administrerende direktør Anne Wojcickis planer om å ta selskapet privat.
Wojcicki, som har forsøkt å ta selskapet privat siden april, foreslo å kjøpe alle utestående aksjer i 23andMe som ikke eies av hennes eller hennes tilknyttede selskaper for $0,40 per aksje, i juli.
«Jeg er overrasket og skuffet over beslutningen til direktørene om å trekke seg,» sa Wojcicki i et notat tirsdag til ansatte som The Post har fått tak i.
Wojcicki la til at planen hennes var den «beste muligheten for langsiktig suksess.»
Gentestingsselskapets aksjer steg 2,6 % onsdag.
Aksjen har stupt 96,6% siden 2021, da selskapet gikk på børs gjennom en fusjon med den engelske milliardæren Richard Bransons blanksjekk-selskap VG Acquisition.
Selskapet – som på et tidspunkt ble verdsatt til 3,5 milliarder dollar – har en markedsverdi på 180,2 millioner dollar.
De uavhengige styremedlemmene hadde avvist planen hennes i juli fordi den ikke ga en premie til sluttkursen på det tidspunktet.
«Etter måneder med arbeid har vi ennå ikke mottatt et fullt finansiert, fullt omhyggelig, handlingsverdig forslag som er til beste for de ikke-tilknyttede aksjonærene,» sa styremedlemmene i et brev adressert til «Anne» tirsdag .
«Vi mener spesialkomiteen og styret har gitt deg god tid til å fremme et slikt forslag. At vi ikke har sett noen nevneverdig fremgang de siste 5 månedene får oss til å tro at det ikke kommer et slikt forslag.»
Wojcicki var med å grunnlegge 23andMe – kjent for sine spytt-DNA-testing og digitale anerverktøy – i 2006.
Styret dannet en egen komité i slutten av mars for å utforske veier videre for selskapet som sliter.
Styret – som inkluderte leger, risikokapitalister og YouTube-sjef Neal Mohan – sa at det var «klart at vi er uenige om den strategiske retningen for selskapet fremover.»
23andMe og deres DNA-tester økte i popularitet rundt 2018, men selskapet har vaklet siden.
Forretningsmodellen inviterer ikke ofte gjentatte kunder – siden én DNA-test er alt en person trenger for sine forfedreresultater.
Det har også blitt rystet av skandale.
23andMe avslørte et datainnbrudd – som inkluderte kundenes personopplysninger – i fjor.
Bruddet skjedde over en fem måneders periode før selskapet ble kjent med hacket.
Selskapet bekreftet bruddet i oktober, men avslørte ikke hele omfanget av hacket før i desember.
Mer enn 30 søksmål ble anlagt mot selskapet for bruddet.
Mandag gikk 23andMe med på å betale et forlik på 30 millioner dollar for en gruppesøksmål som hevdet at selskapet ikke klarte å varsle kinesiske og ashkenaziske jødiske kunder om at bruddet så ut til å være spesielt rettet mot dataene deres.
Saken påsto at disse kundenes data hadde blitt satt sammen til lister som ble solgt på det mørke nettet.
