Elliott Investment Management tar kampen med Southwest Airlines til investorer ved å kalle til et spesielt aksjonærmøte hvor de kan stemme på nye direktørkandidater som til slutt vil styre selskapets strategi.
Ved å innkalle til møtet tar Elliott et svært uvanlig skritt, men et skritt den har telegrafert i flere uker etter å ha konkludert med at nylige endringer gjort av operatøren ikke er i stand til å sikre reelle forbedringer.
Southwest, som har en markedsverdi på 18,45 milliarder dollar, svarte ikke umiddelbart på en Reuters-forespørsel om kommentar.
Elliott, firmaet grunnlagt av Paul Singer som fører tilsyn med rundt 70 milliarder dollar i eiendeler og eier 10 % av Southwests ordinære aksjer, har i flere måneder presset på for å erstatte noen medlemmer av styret, fjerne administrerende direktør Bob Jordan, og gjennomgå strategien for å forbedre den økonomiske ytelsen. og øke aksjekursen.
Mandag sa hedgefondet at det offisielt ber om at det spesielle møtet skal holdes i desember og la frem forslag om å erstatte åtte direktører og ta kontroll over styret. Selskapets siste årsmøte ble avholdt i mai 2024.
«I fravær av en grundig rekonstituering av styret, vil historien om Southwest forbli en av tomme løfter og uoppfylt potensial,» sa Elliott-partner John Pike og porteføljeforvalter Bobby Xu i en uttalelse.
Styret har i dag 15 medlemmer men størrelsen vil krympe til 13 neste måned og videre til 12 på årsmøtet neste år.
Southwest Airlines, som har slitt med å forbli lønnsomt siden COVID-19-pandemien, har tatt skritt for å snu virksomheten, inkludert å legge til seter med mer benplass, og droppe sitt åpne setesystem.
I forrige måned avslørte flyselskapet flere initiativer for å øke sviktende fortjeneste, inkludert partnerskap, feriepakker for kunder og tilbakeleie av fly.
Den la også til en ny direktør tidligere i år og sa at seks direktører ville gå i november og at administrerende styreleder Gary Kelly ville gå neste år i mai.
Southwests aksjekurs har falt 42% de siste fem årene, men har klatret 8% i 2024 og ble handlet 0,6% lavere til $30,45 mandag morgen.
Bloomberg rapporterte nyhetene først mandag før Elliott ga sin uttalelse.
Elliott møtte transportøren forrige måned, men har tidligere kalt selskapets kurs «tilfeldig» og drevet av en gruppe ledere i «full selvbevaringsmodus.»
Hedgefondets foreslåtte åtte direktørkandidater er ledere med industri- og regulatorisk erfaring, inkludert Michael Cawley, som fungerte som viseadministrerende direktør i Ryanair og David Cush, som fungerte som administrerende direktør i Virgin America.
Selv om hedgefondet ikke eksplisitt målrettet Jordan for å bli kastet ut av sine kandidater, sa folk som er kjent med Elliotts tenkning at firmaet fortsatt er forpliktet til å installere nye ledere, inkludert administrerende direktør etter å ha sagt i flere måneder at han må gå.
Siden stillingen i Southwest ble offentlig for noen måneder siden, har Elliott holdt fast ved en tredelt strategi.
