Paramount har vært stort sett ute av nyhetene i det siste, men det betyr ikke at ingenting skjer bak kulissene i det rotete, årelange forsøket på å selge seg selv før de slår seg på en fusjon med Skydance Media.
Som allerede kjent, hentet Paramount-eier Shari Redstone ut en betydelig, nesten 2 milliarder dollar lønningsdag før han gikk med på en avtale med det uavhengige studioet ledet av David Ellison, produsent av «Top Gun: Maverick» og sønn av Oracle-medgründer Larry Ellison.
Det som er mindre kjent er nivået av sinne den komplekse avtalen skapte blant andre aksjonærer som føler de ble stive i prosessen. Generasjonsrikdommen ble overført til den regjerende Redstone-familien. Andre aksjonærer fikk, på en relativ basis, pennies på dollaren.
En av de største aksjonærene, den berømte og berømt grusomme pengeforvalteren Mario Gabelli, forteller meg at representantene hans tar det som ser ut til å være definitive skritt for å rette opp ting.
De har vært i møte med store advokatfirmaer for det som best kan beskrives som samtaler på et tidlig stadium for å saksøke det nylig kombinerte selskapet og få ut en stor lønningsdag for klientene hans.
De fleste eier de samme kontrollerende «Klasse A»-aksjene som Redstone, men mange eier også «Klasse B» eller ikke-stemmeberettigede ordinære aksjer. Alle av dem, frykter han, blir behandlet som roadkill som et resultat av avtalen verdsatt til rundt 28 milliarder dollar for Paramount, en av verdens mest populære mediefranchiser.
Gabelli er ingen dum; han har forvaltet penger med suksess lenger enn den 41 år gamle David Ellison har vært i live. Han er en av de siste av verdiinvestorene som gjør dypdykk i selskaper for å hente ut høyest mulig avkastning for kundene sine.
Han har sett på en utbetaling fra Paramount-investeringen sin helt siden spekulasjonene begynte for minst to år siden om at Shari trengte å selge sin «kontrollerende» eierandel i medieselskapet opprettet av hennes avdøde far, Sumner Redstone, for å bevare noe av familiens velstand som har vært. sakte fordamper midt i implosjonen av den tradisjonelle mediebransjen.
Opprørende ventetid
«Vi er lei av å vente. . . vi kan ikke vente lenger,” forteller han meg, og blir opprørt mens vi snakker. «Jeg snakker med advokatfirmaer, men ett problem er å finne en som ikke er i konflikt fordi så mange jobber for Paramount.»
Jeg har kjent Mario lenge, og en opphisset Gabelli er ikke noe Skydance trenger når den prøver å redde det som var et døende medieimperium som inkluderer Paramount-studioer, CBS og MTV.
Paramount Global, som offisielt ikke vil være i Skydances hender før en gang neste år, har trukket føttene på avsløring (spesielt angående hele Sharis utbetaling), annet enn å gi de svært rudimentære avtalevilkårene, sier Gabelli.
Betyr det at han definitivt saksøker?
Gabelli holder disse kortene tett. Firmaet hans har sendt inn noe som kalles en «220»-melding til domstolene for å få informasjon om Shari. Minst én aksjonærsøksmål er anlagt uten å ha gjort 220-dansen.
Ved å gå 220-ruten i stedet for bare å melde, tror han det vil gi ham stående beskyttelse mot en umiddelbar oppsigelse.
Delaware Court of Chancery, der tvister som dette blir søkt, ville rynke på nesen over en filing uten å gå gjennom avsløringsprosessen. Han ønsker også en rolle som å bli utpekt av retten til hovedsaksøker for aksjonærer.
Skydance vil fortelle deg at avtalen ikke er så ensidig som Gabelli foreslår. I løpet av de siste fem årene, ettersom klipping av snorer og filmbesøk har avtatt, har Paramount blitt et nesten også-løp.
Dens inntog i streaming var et kostbart rot. Aksjen tapte titalls milliarder i markedsverdi. Selskapet er knapt lønnsomt, og kun fordi det reduserer kostnader og antall ansatte.
Det er grunnen til at denne uttømmende avtalen, en som var på- igjen av-igjen i flere måneder, fikk rivaliserende budgivere til å droppe ut og er ikke helt over ennå.
Riktignok var det ikke mange ekte budgivere (som burde fortelle deg noe om mediebransjen) bortsett fra Ellison, som hadde pengene til å tilfredsstille Sharis pengekrav – de nesten 2 milliarder dollar pluss andre fordeler – og kapital for å prøve å fikse det som var en betydelig råtnende eiendel.
Å være sønn av Larry Ellison, en av verdens rikeste menn, gir deg den luksusen.
Og folket hans minner meg på at de betaler ekte penger for denne tingen.
David Ellison og hans partnere i RedBird Capital argumenterer, og jeg tror overbevisende at de har gjort mye i løpet av de lange forhandlingene for å gjøre folk som Gabelli lykkelige.
Tøft medielandskap
Klasse B-allmenningene kan selge noen fall i Paramount-aksjer etter Edgar Bronfman Jr.s overraskende avslutning fra budkrig for $15, som er en premie til deres nåværende pris på rundt $10.
De kontrollerende Klasse A-aksjonærene får $23 eller en sjanse til å konvertere aksjene sine til Klasse B-vanlige. Alle aksjonærer har mulighet til å være med på oppsiden når Skydance dumper penger inn i det nye, forbedrede selskapet.
Medieanalytiker Rich Greenfield fra Lightshed Ventures, som har dekket Paramount-avtale-sagaen fra starten, gjør poenget at i tillegg til de forbedrede vilkårene, må aksjonærer som Gabelli vurdere medielandskapet, som inkluderer de ustabile virksomhetene og de ustabile aksjekursene. av Disney og Warner Bros.
