Milliardær Mario Gabelli, en nøkkelstemmeeier i holdingselskapet som kontrollerer Paramount, sa at han kan forbli en investor hvis mediegiganten fusjonerer med Skydance – til tross for hans tidligere skepsis til en slik binding.
Tidligere denne uken overrasket arving Shari Redstone medieinnsidere med sin kunngjøring om at hun aksepterte et fusjonsforslag fra Skydance – Hollywood-studioet som Paramount har samarbeidet med for å produsere «Mission: Impossible»-serien – til tross for at hun avviste en avtale bare uker tidligere.
«Shari gjorde dette riktig,» sa Gabelli til The Post i et eksklusivt intervju fredag. «Hun trakk seg tilbake og fikk noe mer tiltalende.»
Spesielt sa Gabelli at det ser ut til at den nye Skydance-avtalen er bedre for minoritetsaksjonærer, inkludert Gabelli, et tidligere problem.
I henhold til den nye ordningen krever ikke National Amusements – holdingselskapet som kontrollerer Paramounts stemmeberettigede aksjer, der Redstone eier en eierandel på 77 % og Gabelli eier et flertall av resten – at Paramount-fusjonen skal godkjennes av et flertall av ikke-Redstone aksjonærer.
Mens den kloke medieinvestoren stort sett har vært taus i løpet av de siste månedene med forhandlinger, mente innsidere trusselen om et søksmål fra Gabelli over Skydance-avtalen var et sentralt hinder for å få det til.
«Jeg vil kanskje ikke selge aksjer hvis det er en avtale med Skydance. Jeg trenger å se strukturen i transaksjonen, sa Gabelli og la til at han foreløpig ikke har noen mening om fusjonen. «Inntil jeg finner ut detaljene i denne avtalen er vi på vent.»
På forsiden sa Gabelli imidlertid at tallene virket gunstige.
«Hvis Skydance betaler 1,75 milliarder dollar for NAI og NAI har 500 millioner dollar i gjeld, er det 1,25 milliarder dollar igjen for NAI-aksjonærene,» sa Gabelli. «Det er $20 per aksje.»
Paramount-aksjer på fredag skiftet nylig eier til $11,52, opp 0,5%.
Gabelli la til at han ikke skal på den årlige «sommerleiren for milliardærer» i Sun Valley neste uke, men sa at det vil være interessant å se hvem Shari møter der.
Han vil være spesielt nysgjerrig på å se om Redstone blir tatt i møte med Warner Bros. Discovery-sjef David Zaslav, som har signalisert om igjen, av-igjen interesse for en Paramount-avtale.
«Zaslav ønsker å gjøre noe en-til-en med Shari fordi Netflix har en så stor fordel på dem begge,» sa Gabelli.
Han bemerket imidlertid at det fortsatt er spørsmål om Skydance kan få en avtale gjennom Federal Communications Commission.
«I henhold til gjeldende lov krever en endring på 25% av eierskapet FCC-godkjenning.»
Det århundregamle Paramount Pictures er kjent for filmer som «Titanic», «The Godfather» og «Transformers»-serien.
Skydance-sjef David Ellison, sønn av Oracle-grunnlegger Larry Ellison, har brukt måneder på jakten på Paramount, en kombinasjon som Redstone, datter av avdøde mediemagnat Sumner Redstone, entusiastisk omfavnet, ifølge rapporter.
Hun nektet likevel den opprinnelige avtalen, etter at Skydance justerte tilbudet sitt for å gi mer penger til andre aksjonærer.
National Amusements eier kinoer i USA, Storbritannia og Latin-Amerika, og eier Redstone-familiens 77% av Paramounts klasse A stemmeberettigede aksjer.
