Spirit Airlines er i samtaler med obligasjonseiere om betingelsene for en potensiell konkursmelding i kjølvannet av den mislykkede fusjonen med JetBlue Airways, rapporterte Wall Street Journal torsdag, og sendte aksjene ned 30% i utvidet handel.
Flyselskapet har også undersøkt restrukturering av balansen gjennom en utenrettslig transaksjon, selv om de nylige samtalene har vært mer fokusert på å oppnå en avtale med obligasjonseiere og andre kreditorer for å støtte en kapittel 11-innlevering, rapporterte WSJ, og siterer folk kjent med saken.
Tidspunktet for en slik innlevering, hvis det skulle skje, ville ikke være overhengende, ifølge rapporten. Aksjene i Spirit falt under $2 og er ned 86% i år.
Som svar på WSJ-rapporten pekte Spirit på selskapets resultatoppfordring for andre kvartal der administrerende direktør Ted Christie sa at selskapet var i samtaler med rådgiverne til obligasjonseierne for å ta opp de kommende gjeldsforfallene, med forfall i 2025 og 2026.
«Fordi disse samtalene pågår, kommer vi ikke til å gå i detalj eller ta noen spørsmål om dette emnet eller spekulere i potensielle utfall,» sa Christie og la til at det var en prioritet og selskapet var fokusert på å sikre det «beste resultatet for virksomheten så raskt som mulig.»
Nyheten om den potensielle konkursen kommer måneder etter at Christie sa at flyselskapet ikke vurderte en Kapittel 11-konkurs og er «oppmuntret» av planen den hadde på plass etter at avtalen med JetBlue falt igjennom.
JetBlue og Spirit skrotet sin fusjonsavtale på 3,8 milliarder dollar i mars etter at en amerikansk dommer blokkerte avtalen i januar på grunn av konkurransebekymringer.
Hvis avtalen hadde gått gjennom, ville den ha skapt den femte største transportøren i USA og gitt Spirit en sjanse til å overleve på et tidspunkt da det brenner av kontanter mens det blir belemret med gjeld.
Spirit har advart om et brattere tap i tredje kvartal, hovedsakelig på grunn av en «intens konkurransekamp» for prissensitive fritidsreisende og et overutbud av flyseter på hjemmemarkedet.
Spirit har unnlatt å rapportere overskudd de siste fem av seks kvartalene, noe som har reist tvil om evnen til å betjene gjeld.
I regnskapsåret 2023 hadde flyselskapet rundt 3,06 milliarder dollar i langsiktig gjeld og finansielle leieavtaler, eksklusive gjeldende forfall.
